Contract Clauses every customer sale should have business 101 via school hard knocks!

This thread is more of a business thread. It's purpose is to educate from the business end of things what every contract should have. I'm sure some of you have done business for decades with a hand shake and if that works for you great, Here is my first contribution, feel free to add more information or link to your general sales contracts.Due to the internet most states have long arm statues where they can force someone to appear in court thousands of miles away. this clause specifies where any court case will take place:CHOICE OF VENUEAny dispute arising from this contractual relationship shall be governed by North Carolina law, and shall be decided solely and exclusively by State or Federal courts located in NC. Any party who unsuccessfully challenges the enforceability of this forum selection clause shall reimburse the prevailing party for its attorney's fees, and the party prevailing in any such dispute shall be awarded its attorneys' fees.
